TERMS AND CONDITIONS

1. Introduction
Welcome to Shasta Greene (hereinafter referred to as "Shasta Greene," "the Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our Application-to-Person (A2P) messaging services, platforms, websites, and related applications (collectively, the "Services"). By accessing or using the Services, you ("Customer," "you," or "your") agree to be bound by these Terms.
2. A2P 10DLC Compliance
Shasta Greene is committed to operating in full compliance with all applicable industry regulations, including those governing A2P 10DLC (Application-to-Person 10-Digit Long Code) messaging in the United States and Canada. Compliance is a shared responsibility between Shasta Greene and the Customer.
2.1. Customer Responsibilities: You agree and warrant that you will:
Use Case & Brand Registration: Accurately disclose the nature and use case of your messaging campaigns during the registration process with Shasta Greene and with the relevant Campaign Registry (CR).
End-User Consent: Obtain explicit, documented, and revocable consent from each message recipient (end-user) prior to sending any A2P message. You must maintain clear proof of consent (e.g., opt-in logs, terms of acceptance) and promptly honor all opt-out requests (e.g., "STOP").
Content Guidelines: Ensure all message content is accurate, lawful, non-deceptive, and does not violate any applicable laws, regulations, or carrier policies (including prohibitions on spam, phishing, fraud, or harmful content).
Provide Accurate Information: Furnish Shasta Greene with accurate and up-to-date business information, tax IDs, and any other details required for compliance registration.
Campaign Compliance: Adhere to all throughput limits, content rules, and guidelines associated with your registered campaign type(s).
2.2. Company Responsibilities: Shasta Greene will:
Compliance Facilitation: Facilitate the registration of your Brand and Campaign(s) with the relevant Campaign Registry (CR) as required by mobile network operators (MNOs).
System Filtering: Implement reasonable technical measures to help detect and prevent fraudulent or malicious messaging traffic.
Carrier Guidelines: Enforce carrier-mandated rules, including message filtering, blocking, or surcharges for unregistered or non-compliant traffic.
Regulatory Updates: Make reasonable efforts to inform Customers of material changes to A2P compliance rules.
3. Prohibited Uses
You may not use the Services provided by Shasta Greene to send messages that are:
Illegal, fraudulent, or infringe on the rights of others.
Unsolicited (spam) or sent without prior consent.
Harassing, threatening, abusive, or obscene.
Designed to evade detection by carrier or regulatory filters.
Related to high-risk industries (e.g., payday loans, illegal substances) without explicit prior approval from Shasta Greene and verification of specific compliance measures.
4. Service Limitations & Liability
Shasta Greene provides the Services on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free service. Delivery of messages is subject to carrier acceptance and network availability. Shasta Greene shall not be liable for any delays, failures, or losses resulting from: (a) your non-compliance with these Terms or A2P regulations; (b) actions or inactions of third-party carriers or the Campaign Registry; or (c) force majeure events.
5. Suspension & Termination
Shasta Greene reserves the right to suspend or terminate your access to the Services immediately, without liability, if we reasonably believe you have violated these Terms, any applicable law, or carrier policies, or if your messaging activities threaten the integrity of our network or our relationships with carriers.
6. Indemnification
You agree to indemnify, defend, and hold harmless Shasta Greene, its affiliates, officers, and employees from and against any and all claims, damages, losses, liabilities, and expenses arising from your use of the Services, your breach of these Terms, or your violation of any A2P compliance regulations.
7. Changes to Terms
Shasta Greene reserves the right to modify these Terms at any time. We will provide notice of material changes via email or through our platform. Your continued use of the Services after such notice constitutes your acceptance of the revised Terms.
8. Governing Law & Contact
These Terms shall be governed by the laws of the State of California. Any disputes shall be resolved in the courts located in Orange County, California.
